Purpose

Join our team of legal experts at the EIB's Central Europe Division. As a legal counsel, you will play a pivotal role in shaping and negotiating lending operations of the EIB across eight jurisdictions. As a legal counsel within CE you'll collaborate with a team of 10 highly skilled lawyers. You will also work closely with EIB's clients, ranging from member states, local municipalities, and banks to corporates of all sizes and from all eligible sectors. You will offer strategic guidance on all types of lending operations, including secured and non-secured transaction, structured finance and asset finance. Your legal acumen will guide projects, mitigate risks, and ensure compliance.

CE is at the heart of lending operations and financial products in the following eight countries: Poland, Czech Republic, Slovakia, Hungary, Romania, Bulgaria, Slovenia and Croatia.

Accountabilities

You will provide legal advice on lending operations in relation to, in particular, the EIB projects in Poland, but opportunities may also arise for you to advise on projects in other jurisdictions covered by the CE team and mentioned above. Your tasks may involve limited amount of travel for negotiations and signatures of legal documentation. You will:

draft and independently negotiate legal documentation in English (including loan agreements, guarantees and other related finance documents) for lending operations (such as bilateral loans with banking sector counterparts, corporates and public sector entities); provide legal advice to the EIB (with an assistance from external legal counsels chosen for that purpose by the EIB) in relation to structured finance transactions (such as asset-backed and synthetic securitisations, project finance and PPP); offer legal advice throughout the entire lending process, from the initial structuring of transactions to participation in negotiations and any matters occurring post financial close (including workouts and restructurings); liaise with external counsels and supervise their work, whenever necessary; undertake research and conduct legal studies on matters of law arising in connection with the Bank's operations and in the context of developing new products; and build and maintain relationships within the EIB, with its clients and external legal advisers and represent the EIB externally.

Qualifications

University degree in law, minimum an equivalent to a Bachelor; Professional legal qualification in the law of any jurisdiction where CE team operates (and preferably in Polish law), however lawyers having Luxembourg or English law qualifications are also encouraged to apply; Admission to a bar association; Minimum of 5 years of relevant experience gained from a law firm, specifically advising on lending transactions; Significant experience in drafting and negotiating finance documents (of LMA type); Experience in structured finance, project finance, or PPP transactions would be considered a distinct advantage. Excellent knowledge of written and spoken English that permits to independently conduct high-profile negotiations and draft finance documents; a good command of French(*). Capacity to draft and negotiate in Polish would be a distinct advantage.

(*) Unless stated explicitly as a required qualification, a good command of French is not a pre-requisite for hire. As both English and French are however official working languages of the EIB, proficiency in both languages is a pre-requisite for your future career development. Any language clause in your contract must be fulfilled in order for you to be eligible for a promotion (either via the annual appraisal cycle or via an internal selection process). Proficiency is understood to mean the attainment of level 5 of the Inter Institutional language courses, corresponding to B1.2 of the Common European Framework of Reference for Languages (CEFRL). The Bank offers appropriate training support.
