We are seeking an IP & Legal Associate for a 2-year-regular position (renewable) to work within the Business Development Department at the International Vaccine Institute in Seoul, Korea. (Duty station: Seoul, Korea)
Job Description
This job is responsible for conducting daily paralegal activities and communication in compliance to the corresponding regulations and organizational policy. This person is to assist the organizational systems in handling the legal agreements in relation to projects and initiatives and facilitating communication with various stakeholders, including partners, collaborators, regulators, and external legal counsel. This position is to support Intellectual Property (IP) & Legal activities to ensure all related documents/ records are managed efficiently.
Key Roles & Responsibilities
1. Legal Affairs and Compliance
Assist in updating standard legal templates (NDA, MTA, MOU, License or Technology transfer agreement, Collaboration or Partnership Agreement) as required. Coordinate internal processes related to review, execution, archiving, and external legal counselโs review of the legal agreements as applicable. Prepare/ organize records of all executed legal documents in the system archive that IVI approves. Understand the donor policy and organizational policy alignment to assist in communicating with relevant stakeholders. Assist in preparing training materials for internal and external training covering contractual and IP matters.
2. Intellectual Property (IP) System Coordinator
Update and manage IP data system for all IP registrations within IVI and IP transaction records with third parties, archive and maintain all related documents. Communicate for external legal counselโs review as necessary and update IP & Legal Manager on the communication Assist in coordinating activities for IVI IP Committee, including submitting required reports, and following up on action plans and decisions made by the committee, preparing for the regular or ad-hoc Support documentation and archiving for to IP activities related to evaluating ideas/product proposals, due diligence searches, patentability and Freedom-To-Operate searches, external technology assessment, external R&D collaboration, IP creation, and prosecution. Maintain IP cost transaction records in IP management activities and complete regular reports.3. Third-Party Licensee Coordination
Assist in establishing technology transfer agreements and license agreements with the third-party licensee in collaboration and communication with the corresponding project team. Track and collect milestone payment, royalty and other related fund streams from the license agreements with the licensees. Maintain the record and provide the summary report with future estimate.
Job Requirements and Qualifications
1. Education Requirements
A Bachelorโs degree in Pharmaceutical/ Biopharmaceutical/ International Studies/ Social Science/ Public Health โ Experience in Paralegal activities will be an added asset
2. Related Field Work Experience
3 or more yearsโ experience with undergraduate degree in related field: International Organization/ Contracts documentation Basic experience in contract management, and related archiving system, with an understanding of legal compliance.
3. Technical and Professional Skills / Knowledge
Excellent skills in MS word, PowerPoint and Excel Excellent communication skills in dealing with senior external contacts Strong organizational skills; able to juggle multiple priorities. Excellent inter-personal communication skills; professional presence
