    Organizational Setting and Reporting Relationship

    The position of Associate Legal Officer is assigned to the Office of the General Counsel (OGC), ADB's legal department. OGC is responsible for providing legal and policy advice to ADB's Board of Directors, its Management, and client departments on operational and administrative matters and advises on methods to limit ADB's risk exposure appropriately. It prepares or reviews documents that create and define the legal rights or obligations of ADB, including financing and investment contracts, agreements, and other documents relating to the formation of financing and knowledge partnerships.

    You will be based at our Headquarters in Manila, Philippines.

    You will report to the Assistant General Counsel and/or designated International Staff and Senior Officer and may supervise Junior Local Staff.

    Your Role:

    As an Associate Legal Officer, you will provide legal and technical support to counsel with respect to ADB's finance and funds operations.

    You Will:

    a. Finance Operations

  • Support counsel in drafting, reviewing, and finalizing legal documents related to ADB's bond issuances, derivatives transactions, and regulatory approvals.
Review agreements and documents from the Treasury Department and other relevant units, assisting in negotiations and finalization. Monitor global regulatory changes affecting ADB's Treasury operations and provide legal guidance on compliance with ADB's Charter, policies, and applicable laws.

b. Funds Operations

Support counsel in legal matters related to cofinancing partnerships, knowledge partnerships, and ADB's involvement in global and regional funding initiatives. Review and assist in negotiating agreements such as MOUs, cooperation arrangements, and affiliation agreements from departments including SPD, CCSD, and SG. Draft and finalize agreements, documents, and communications related to fund operations.

c. Legal Research and Support

Conduct legal research and assist counsels in responding to internal and external inquiries on global financial regulatory reforms, policy changes, and jurisdiction-specific legal matters.

d. Others

Assist in training and mentoring new staff and consultants, support special projects, and perform non-project-specific tasks and additional duties as assigned by the supervisor.

Qualifications

You will need:

Bachelor's degree in Law and member of the Philippine Bar, or its equivalent work experience in a multilateral financial institution, preferably with advanced training. At least 5 years of relevant professional experience, with in-depth knowledge in documenting bond and swap issuances and derivative transactions. Experience working with legal and financial documents in a collaborative team setting, including reviewing and interpreting technical content to support decision-making. Strong written and verbal communication skills in English to convey legal concepts and support collaboration across teams and stakeholders.
